As Senior Vice President, Ms. Cavalieri is a key member of the President and CEO’s executive team providing strategic and tactical advice. She is responsible for providing administrative leadership of the University’s legal, regulatory and risk departments, including compliance, professional liability, internal audit, enterprise risk, institutional integrity, conflicts of interest and industry relations. She also provides executive leadership of the organization's government relations activities.
As Chief Legal Officer, she is the executive legal advisor and counselor to the President and CEO and the Board of Trustees. She advises on all legal, corporate and governance issues and those matters implicating the legal, risk, corporate and governance realm; represents the University in negotiations and proceedings; manages litigation and business transactions; assesses risks and recommends risk reduction strategies; and oversees the legal and contracting functions of the Office of Technology Transfer. She also serves as the General Counsel and Secretary for Jefferson University Physicians, a 650 physician faculty practice plan.
As Secretary and Chief Governance Officer of TJU and JUP, Ms. Cavalieri administers the Board and its committees and is responsible for all substantive corporate and governance issues, including advising on the appropriate exercise of fiduciary duties. She is the executive advisor to the Chairmen of the Board and Committee Chairs, and recommends actions and documentation to ensure that corporate actions are authorized, as are necessary, appropriate or required. She also advises and recommends best practices, manages board meetings, retreats, and agendas and recommends board policies, procedures and educational programs.
Before Ms. Cavalieri joined the Office of University Counsel, she was a partner at the law firm of Pelino & Lentz, P.C. At Pelino & Lentz, P.C., Ms. Cavalieri developed and managed the firm’s interdisciplinary health care department and was active in governmental relations.
Ms. Cavalieri received her Juris Doctorate from Temple University School of Law. She was a practicing nurse before attending law school and received her B.S.N. from the College of New Jersey and her R.N. from New York's Misericordia Hospital School of Nursing.
Active in the legal and business community, Ms. Cavalieri is an active member of the Philadelphia, Pennsylvania and American Bar Associations, NACUA and American Health Lawyers Association and Society of Corporate Secretaries and Governance Professionals. She serves on the Boards of the Committee of Seventy, the Philadelphia Industrial Development Corporation, and the Philadelphia Convention and Visitors Bureau. She also serves as Commissioner of the State Transportation Commitee of the Commonwealth of Pennsylvania, the governing board of the Pennsylvania Department of Transportation. Ms. Cavalieri is a former Board member of Hope Partnership for Education and the Justinian Society. Ms. Cavalieri shares her expertise as a frequent lecturer on health care matters, corporate governance and issues arising in joint ventures between for-profit and not-for-profit entities.
