A Confidential Disclosure Agreement (CDA) is a legal contract through which the parties involved in executing the CDA agree and are obligated not to disclose any proprietary information covered under the CDA. A CDA outlines the scope of the confidential information that the parties wish to share with each other for certain purposes. A CDA may also be called a Non-Disclosure Agreement (NDA), Confidentiality Agreement, or Secrecy Agreement.
When is a CDA Needed?
TJU personnel shall contact OTT or the Office of Research Administration (ORA) to establish a CDA before making any industry or external academic contact to disclose or receive confidential information. Similarly, if a company, an academic institution, or an individual outside of TJU approaches TJU personnel to disclose or receive confidential information, such TJU personnel shall contact OTT or ORA to set up a CDA before taking any actions. ORA is responsible for clinical trial-related CDAs while OTT handles all other CDAs.
Here are some examples when a CDA is needed.
- When a TJU investigator plans to disclose to his/her industry or academic collaborator his/her idea which has not yet been publicly disclosed.
- When a TJU investigator is interested in receiving a confidential protocol or study summary on a clinical trial from a potential sponsor.
- When a TJU investigator is interested in collaborating with a company by receiving the company’s proprietary product information and providing feedback on the product.
TJU CDAs
TJU does not execute any Master CDAs. Any CDAs that TJU executes shall include a specific scope of the confidential information and shall be for a designated principal investigator for a potential project.
TJU personnel cannot execute a CDA on behalf of TJU. The authorized signatories for TJU CDAs are the Executive Director of OTT (for all CDAs except for clinical trial-related CDAs) and the Director of ORA (for clinical trial-related CDAs).
